Thank you for becoming an Exclusive Member of the USHUD.com Cooperative network of websites. We look forward to working with you to ensure your success as an Exclusive Member. Feel free to contact Member Services, Mon-Fri 9:00am-5:00pm EST to assist you in growing your business.

Member Services will be reaching out to you via phone within 24 business hours of your initial start date in order to ensure satisfaction with your banner and to make certain that all of your contact information we have on record is accurate and up to date. Contact information or graphic images used on your banner can be changed at any time while you are online by alerting Member Services regarding the changes requested. We strive to manage your membership as professionally and effectively as possible. Exclusive Memberships are renewed each quarter for the 90-day cycle. After the initial 90 days, the account will renew each 90 days, unless Member Services is notified otherwise. Access our Resource Page (http://ushud.com/client-resources), designed to allow you to preview professional video suggestions and other valuable techniques and helpful tools to increase your success rate and close more transactions with less effort while online. Coaching is provided free of charge in order to assist you in maximizing your time online and increasing your success. Coaching hours book fast so we suggest that any time requested be booked in advance and attended at the scheduled date and time.

A. Rights of Images

  1. The member hereby gives all rights and privileges to the USHUD Cooperative for the use of the members image and or logo for the purpose of creating members banner and any third party that is in the best interest of the member. The banner will be presented in the highest resolution reasonable and practical to maintain an esthetically professional image of the member and the USHUD cooperative. In cases where the image provided by the member is below acceptable resolution the cooperative may request a higher resolution image before uploading the image. 
  2. In cases where USHUD provides a click through to the members existing website the member takes full and complete responsibility for all content on their existing website. Member will hold harmless the USHUD Cooperative regarding any liability for content deemed unprofessional on the existing website of the member. In cases where questionable content is on the private website of the member, the USHUD Cooperative reserves the right to discontinue linking to the existing members’ website. 

B. Terms and Conditions

  1. After the initial 90-day cycle, your membership will continue quarterly at the same reduced rate to ensure you maintain the first right of refusal as the Exclusive Member in the area(s) listed above. In the event that your payment is declined for any reason, your membership remains unpaid and authority to recharge has not been withdrawn, we will recharge your account until payment is received. The USHUD cooperative is not responsible for any overdraft fees that may occur as a result of attempted charges. Should you wish to either increase or decrease coverage areas, Membership Services can be notified 48 business hours prior to the renewal date either by phone or by email at 800-230-9519 or [email protected]. Cancellations will be processed upon completion of each quarterly term. Cancellations submitted during a billing cycle will be processed prior to the next quarterly renewal. Refunds are not offered for cancellations submitted during a billing cycle. 

C. Responsibilities and Obligations (Exclusive Banners and Registrations)

  1. The USHUD Cooperative is here to serve and help grow your business; to that end we offer additional services based on your individual goals. Your exclusive banner will be presented in the area/s on the site/s identified in your receipt twenty four hours a day, seven days a week during the term of this agreement. There will be no rotations of banners or with any other competing professionals as your banner is exclusively displayed along with a single complementing professional as long as they are a member of the cooperative and are in good standing with their local licensing and boards.

  2. All home seller and homebuyer inquiries and registrations generated from the area/s and site/s identified in your receipt will be sent electronically, in real time to the email address provided by you, your identified CRM when possible, a CRM provided to you by USHUD Cooperative, via text message or by any other electronic means agreed to by both parties.
  3. USHUD will use whatever means deemed practicable to filter and eliminate home seller and home buyer registrations that are determined to be obviously incorrect or salacious. However due to the nature of the internet and the proliferation and variations associated with email addresses, spelling of names and advances in telephony there is no guarantee that all contact information is accurate or that all registrations, prequalification forms and or leads will be forwarded to you in cases where it is believed that the user chose to deliberately provide misleading information. Suspension of Services

D. Suspension of Services

  1. Suspension of Service/Refund Policy: No refunds for canceling during a billing cycle are approved; if you wish to suspend service and avoid future billings, please email [email protected] at least two business days prior to the scheduled renewal date. Cancellations will only be processed upon completion of each 90-day term. Your banner will be removed as soon as possible upon the day scheduled for suspension and after receiving your cancellation request and all registrations, prequalification forms and contact requests will no longer be forwarded to you.
  2. The member’s banner will be removed as soon as possible upon receiving a suspension request. The cooperative will make every effort to ensure the members account remains current to include email notification and phone calls so that the member remains online within their exclusive area(s). Payment methods can be changed by the member and in cases where a new credit card is required due to expiration or for increased security. It is the responsibility of the member to contact Member Services via email or telephone or respond to Member Services by email or telephone. If Member Services does not receive a response the members payment method on file will be processed until payment is current for up to 90 days. Problem billing may result in a suspension of services unless otherwise agreed in writing. Cooperative Exclusive Sites include: USHUD.com, USAHUD.com, AllHud.com and HudEx.com
  3. In cases where the billing is not successful for a prolonged period, The USHUD Cooperative will do its best to contact the member and provide reasonable time for the member to make arrangements to pay the amount due. USHUD Cooperative reserves the right to contract the services of a collections agency to be made whole if all other internal methods have not been successful. Additionally, in the event of a declined payment, USHUD Cooperative reserves the right to attempt billing at the monthly rate applicable to service(s).
  4. In the event of an early termination of this agreement by the member for any reason including inability to process the member’s credit card during the term and provision of this agreement or any addendum to this agreement, the member agrees to immediately pay any outstanding amounts due for the entirety of the agreed upon term. In event of non-payment, the Cooperative will assess a late fee of 15% monthly interest to the account for the complete outstanding balance until the balance is paid in full. The Cooperative will charge a one-time $500 fee in addition to the outstanding balance in cases where a collection agency is engaged in order to collect on the outstanding balance to include the aforementioned interest and late fees.
  5. While every effort will be made to maintain the member at the discounted quarterly rate, should the members account require an adjustment by either party for payment purposes to monthly rather than quarterly, a $50 a monthly surcharge will be applied for the remainder of the agreed upon term.

E. Exclusivity and Presentation

  1. Exclusive Member Banner placement indicates that a member’s exclusive banner will never be in rotation with other competing professional members. One real estate agent and one loan officer will be displayed in any geographic area on any of the site(s) listed above while the exclusive members account remains active and current. Further, all home buyer and seller contact forms that are generated in primary areas on the sites listed above will be forwarded in real time to the email address provided by the exclusive member of the cooperative. Courtesy areas are exclusive but are not guaranteed for any length of time as there is no charge for courtesy areas. If you would like to secure a “Courtesy” area as a “Primary” area, please call 800-230-9519 to secure your exclusive placement. Courtesy areas are not guaranteed to a real estate professional member for a specific time. All consumer contact forms may be forwarded to third parties in order to ensure the best possible follow up on each consumer contact submitted. In cases where the home buyer or seller contacts this office, we will do our best to connect the consumer with the appropriate member in the designated area. Consumer contact forms are sent electronically to the non-competing exclusive professional members assigned to the area(s) and any courtesy area(s) that may be temporarily assigned.
  2. All contact forms are sent in real time and are considered exclusive to the Loan officer, Real Estate Agent and any other non-competing professionals in the particular area. In order to ensure the best possible consumer experience, the USHUD.com cooperative family of sites reserves the right to forward contact forms to third parties twenty four hours after they have been forwarded to the exclusive real estate professional members in any respective area(s).
  3. This agreement in no way implies or is meant to imply a partnership between the two parties. Each party shall hold the other harmless for any damages and each party agrees to resolve any dispute in a professional manner befitting the professional standards of conduct. We are here to serve the needs of each member of the cooperative whatever they may be, time permitting. F. Disclaimer Parties

The USHUD Cooperative is a private company not affiliated or associated with or endorsed, authorized approved sponsored or licensed by the US Department of Housing and Urban Development. As a National online advertising platform, The USHUD Cooperative is not subject to local RESPA compliance as the Cooperative does not accept or pay referral fees.

G. Governing Law

This agreement and any claim or dispute of whatever nature arising out of or relating to this agreement will be governed by and construed in accordance with the laws of the state of Maryland without giving effect to any choice of law principles that would require the application of the laws of a different state. All parties agree to work out any disputes in a professional and respectful manner. If the parties are unable to come to an agreement a neutral mediation company will be selected by The Cooperative to assist in solving any issues. 

H. Counterparts

This agreement may be executed in multiple counterparts, each of which shall be deemed an original hereof.
